TERMS OF SERVICE
1. INTRODUCTION
These Terms of Service ("Terms") constitute a legally binding agreement between Pixel Apps L.L.C. ("Pixel Apps," "we," "us," or "our") and you ("Client," "you," or "your") for the provision of web and mobile development services.
2. SCOPE OF WORK
Pixel Apps agrees to provide the following services:
- Marketing websites
- Web applications
- Mobile applications
- E-commerce solutions
- CRM systems
- API/AI integrations
The scope of work will be outlined in a separate agreement or statement of work, which will include the specific services, timelines, and deliverables.
3. PAYMENT TERMS
The Client agrees to pay Pixel Apps the fees outlined in the agreement or statement of work. Payment terms are as follows:
- Payments will be accepted in cash or via Zelle.
- Payments are due upon receipt of invoice.
- A late fee of 10% will be applied to unpaid balances one week after the payment due date.
4. INTELLECTUAL PROPERTY
Pixel Apps retains all intellectual property rights to the work produced, including but not limited to, code, designs, and concepts. The Client is granted a non-exclusive license to use the work for the purpose specified in the agreement or statement of work.
5. CONFIDENTIALITY
Both parties agree to keep confidential all information and materials exchanged during the course of the project. This includes, but is not limited to, business strategies, technical information, and trade secrets.
6. WARRANTIES AND REPRESENTATIONS
Pixel Apps warrants that the services will be performed in a professional and workmanlike manner. However, Pixel Apps does not warrant that the services will be error-free or that all defects will be corrected.
7. LIMITATION OF LIABILITY
In no event will Pixel Apps be liable for any damages, including but not limited to, incidental, consequential, or punitive damages, arising out of or in connection with the services. The Client's sole remedy for any breach of warranty or contract will be limited to the correction of the defect or a refund of the fees paid.
8. TERMINATION
The Client may terminate this agreement at any point in the process, upon written notice to Pixel Apps. Upon termination, Pixel Apps will return all Client materials and cease work on the project.
9. GOVERNING LAW
These Terms will be governed by and construed in accordance with the laws of the State of California.
10. DISPUTE RESOLUTION
Any disputes arising out of or related to these Terms will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
11. CHANGES TO TERMS
Pixel Apps reserves the right to modify or update these Terms at any time without notice. The Client's continued use of the services will constitute acceptance of the revised Terms.
12. ENTIRE AGREEMENT
These Terms constitute the entire agreement between the parties and supersede all prior or contemporaneous agreements or understandings.
13. AMENDMENTS
These Terms may not be amended or modified except in writing signed by both parties.
EFFECTIVE DATE
These Terms are effective as of April 26, 2024, and will remain in effect until terminated or updated.
